Note on activities of Swasti Ayush Sansthan (A Company U/S 8(1) Of the Companies Act.2013)

01. The company has been incorporated recently i.e. on 26 Nov.2020 and the Corporate Identity Number of it is U85300RJ2020NPLO72275,

 02. The company has already received the PAN Card and it’s PAN is ABECS9664A.

 03. It had submitted the Estimated Future Income & Expenditure A/Cs for the’ first three years of its functioning. They are enclosed herewith.

 04. It has hired its office premise and the proposed work place by a rent agreement dated 04/12/2020 and has started its activities from these Premises i.e. 01/01/2021.At the office premise it is running a free ayurvedic, naturopathic and yogic consultation center and it will be launching an Ayurvedic/Naturopathic/Yogic Hospital (initially outdoor patient treatment and subsequently indoor treatment facility also.){A copy of the rent agreement is enclosed herewith.)

 05. All the three initial subscribers of the authorised share capital of the company have fully

subscribed their portion of the company’s share capital. The company has opened a current

account with ICICI Bank, India Motor Circle, Kutchery Road, Ajmer, Rajasthan, The current” .

account number of the company is, 018505006936 and the IFSC Code of the branch ‘

concerned is ICICQ000185.The entire subscribed share Capital of the company has been

deposited directly by the concerned persons into this bank account. A ‘copy of the account

statement is enclosed herewith.(a copy of the bank account statement and a cheque leaf is

enclosed herewith)

 06.For the sake of operational convenience the company by its resolution dated 27/11/2020 has

appointed Sh. Pavan Kumar Sharma, one of the directors of the company, its Authorised Signatory.(copy of the Board Resolution is enclosed) .

 07.By a separate resolution dated 27/11/2020 the company has authorised Sh.Pavan Kumar Sharma and Sh.Divij Sharma two of the directors of it, to Operate jointly or severally the bank account of it.( copy of the Board Resolution is enclosed.)

 08. A list of the directors of the company giving the details required in regard to them is

enclosed herewith.

 09. The three subscribers of the shareholding of the company have appointed Shri Mahendra Prakash Khandelwal, Company Secretary as the Attorney for and on behalf of all of them. He has also consented to appointment.( the copy of the relevant resolution and the consent are  enclosed herewith)

 10. The company by a resolution of the board dated 27/11/2020 has appointed Sh. Somesh

Kumar Agarwal (membership number 404827) as the first Statutory Auditors of the company.

He has by his letter dated 27/11/2020 has consented to his appointment. (copies of the

relevant resolution and the letter of consent are enclosed herewith.)

 11. The company has also created a greenhouse for in setu plantation of various medicinal herbs

on the rooftop of the hire the hired clinical premises of it, which is already functional.

12. The company  is working to provide home remedies and medical,naturopathic. Yogic and ayurvedic product prescribed and invented by it. “arogyam pradayate “ is the key

theme and  core ethic of the company.

 13. The Company has authorised its senior most director of it Sh. Pavan Kumar Sharma to take

admission in a Two Year Diploma Course in Naturopathy and Yoga. He has already joined this

course with National Institute of Open Schooling and will start attending its online classes

from 01/04/2021.Till the time he completes the course the company will be hiring the

services of some retired officers of the Ayush Department and Naturopathy Clinics. It will

also hire Yoga teachers as and when the need arise.\

 14. The company is applying for its registration as a charitable institute with the Income Tax

Department ,U/S 10,11 ,42 and 80G of the T Act1961, for fulfilling the above stated activities of it,

 15.the company has entered into lease agreement  on 28 /02/2021 for hiring of farm house at village Devnagar , Teh. Pushkar Distt. Ajmer, w.e.f.- 01/03/2021 where it proposes to start its outdoor naturopathy treatments like water therapy , massages , sauna/ steam bath , mud bath jacuzzi bath etc. in future and also to grow medicinal plants (herbs and trees). This farm  already has many such herbs and trees which will be used for the naturopathic medicines.

 16.  All other objects of the company have already been specified in the statement of the grounds on which the application was made for obtaining license U/S 8 (1) of the Companies Act 2013 and proposed main objects of the company , submitted with that application . A copy of them is enclosed herewith.
